If a shareholder is abroad, busy or unwell, they sign a power of attorney instead. It names an attorney and lists the acts: sign the share sale agreement, sign the amended memorandum, attend the registrar, and receive or pay the price. A general power of attorney usually will not do. Selling or transferring shares goes beyond management, so name the transfer in the document. If yours does, the attorney may need to show their waiver. - Read the transfer clause in the memorandum - Get the other partners’ consent in writing - Name the waiver in the power of attorney if needed ## Who signs, who attends, what is checked The shareholder giving the authority Original passport or Emirates ID Trade licence, current Memorandum with every amendment Number of shares or percentage Buyer or seller name against their ID Attorney’s full name and ID number Price and payment terms, if included ## Where it is refused, and why The registrar refuses a share transfer POA that does not name the transfer, gives a share count that differs from the memorandum, or names a party wrongly. We check each against your papers before you sign. ## Rejection reasons, and the fix 01 It is a general power of attorney Fix: name the company, the shares and the transfer. 02 The share count does not match Fix: copy the holding from the current memorandum. 03 The buyer is named wrongly Fix: copy the name from their passport or trade licence. 04 The attorney cannot sign the amended memorandum Fix: add that act to the scope. After notarisation 01 ### Signed abroad The UAE is not a party to the Apostille Convention.
