What commercial contract notarisation covers
A commercial contract is any agreement between businesses that sets out what each side will do, such as a supply agreement, a distribution agreement, a service contract or a partnership agreement. Notarising it gives the contract a checked date and a notary’s confirmation that the named parties signed it, which strengthens its standing if a dispute reaches a UAE court. Two named contract types, a commercial agency agreement and a local service agent agreement, have their own pages because they follow a specific legal form. Any other commercial contract is notarised under this service. We read the contract before you sign, to check the parties, the signatures and the company authority are in order.
Commercial contracts we notarise
Supply and distribution agreements
An agreement setting out supply, pricing or distribution terms.
Service and consultancy contracts
An agreement for one business to provide services to another.
Partnership and joint venture agreements
An agreement between businesses working together on a venture.
Commercial agency agreement
A named agency contract with its own legal form.
Local service agent agreement
A named agreement for a local service agent.
What the contract must contain
01
The parties
Every business named exactly as on its trade licence.
02
The signatories
Named individuals with authority to sign for each business.
03
The terms agreed
What each side will do, and for how long.
04
The company stamps
Where a company signs with a stamp as well as a signature.
05
Both language texts, where the contract is bilingual
Checked against each other before signing.
Getting the scope right
Notarising a contract does not create the agreement, the two businesses do that. What we add is a check that the right people signed, with the right authority, and a notarised record of the date. Tell us the contract type and who is signing, and we tell you what authority each signatory needs to bring.

A specific agency contract with its own legal form.

What decides whether it is accepted
A UAE court or counterparty checks that every signatory had authority to sign for their business, that the company stamps match the trade licences, and that both language texts agree where the contract is bilingual.
- Every signatory’s authority is checked before signing
- Company stamps match the current trade licences
- Both texts agree, where the contract is in two languages
Who signs, and what we check
An authorised signatory for each business
Passport or Emirates ID of every signatory
The trade licence of each business
Proof of signing authority, such as a board resolution
Company stamps, where the contract uses them
Where a commercial contract gets refused
We cannot notarise a contract where a signatory cannot show authority to sign for their business, or where the two language texts disagree on a material term. A contract signed by someone not named on the trade licence or a resolution is usually refused until that is corrected.
Common problems, and the fix
01
A signatory has no proof of authority
Fix: bring the board resolution or power of attorney that names them.
02
The two language texts disagree
Fix: correct both texts together before signing.
03
A business’s trade licence has expired
Fix: renew it before the contract is signed.
04
The contract names a business incorrectly
Fix: match every name to the current trade licence.
After notarisation
01
Each party keeps a copy
Both businesses hold a notarised copy of the signed contract.
02
File it where required
Some contracts are filed with a free zone or government body, tell us if yours is.
03
Keep signing authority on file
Keep the resolution or power of attorney with the contract.
04
Amend it later through an addendum
A notarised contract is not edited, a change is recorded separately.

If your contract has a specific legal form
A commercial agency agreement and a local service agent agreement each follow a set legal form, with their own requirements.

Send your contract. We check signing authority before you sign.
Documents we notarise are presented to authorities, free zones and banks across the UAE.

Questions about commercial contract notarisation
Does notarising a contract make it legally binding?
The businesses’ agreement makes it binding, notarisation adds a checked date and confirmed signatories, which strengthens it in a dispute.

Yes, as long as a signatory with authority attends, in person or online.
Do both businesses need to attend together?
No, each can sign at a different time, in person, online or at home.
What if the contract is only in English?
We notarise English contracts as they stand, and check a bilingual version if you have one.
Can you draft the contract as well?
We quote after reading what you need, contact us with the detail.
How much does it cost?
AED 500 for a standard commercial contract, more complex contracts are quoted after we read them.
