What a company representative POA is
It is a power of attorney from a company to one person, the representative, who then acts in the company’s name. Owners and managers use it when they cannot attend every counter themselves. A PRO renews the trade licence and visas. A finance officer deals with the bank. A branch manager signs routine contracts. The company grants it through whoever holds authority, usually the manager named in the memorandum of association or a person a resolution authorises. The document lists what the representative may do. The receiving party reads that list closely, so each act the representative needs has to be written in.

Getting the scope right
Under Federal Decree-Law No. 25 of 2025 (Article 871), a power of attorney written in general terms covers acts of management only. A representative who must sell, mortgage or transfer shares needs those acts named.

What to bring

Representative POA
Gives a named person authority for listed tasks. The company can revoke it at any time and grant a new one.
General manager appointment
Changes who manages the company. It is recorded in the memorandum or a resolution and on the trade licence.
When the company is abroad
A foreign parent company can grant the POA from abroad by online notarisation with our in-house notary public, who checks the signatory’s identity and witnesses the signing by video. If it signs before a notary in its own country instead, the POA is attested there, including by the UAE embassy, and attested again by MOFAIC in the UAE.

Where it is refused, and why
A counter refuses a representative POA when the task in front of it is not in the scope, when the signatory’s authority is not shown, or when the representative’s name differs from their ID. We check each point before you sign.
Rejection reasons, and the fix

The task is not listed
Fix: name every counter and task the representative will handle.

The signatory had no authority
Fix: cite the memorandum clause or attach the resolution.

The name differs from the ID
Fix: copy the name exactly from the passport or Emirates ID.

The bank wants its own form
Fix: use the bank’s form and check it against your memorandum.
After notarisation

Give the representative the original
Most counters ask to see the notarised original.

Register it where needed
Some banks and portals keep a copy on file before they accept the representative.

Keep a list of who holds a copy
You will need it if you revoke the POA later.
When the representative leaves
Revoke the POA and tell everyone who holds a copy. Revocation is covered by Article 898 of Federal Decree-Law No. 25 of 2025. Then grant a new POA to the next person.
