What this power of attorney does

A share transfer needs the seller and the buyer, or people acting for them, to sign the transfer papers and the amended memorandum of association. If a shareholder is abroad, busy or unwell, they sign a power of attorney instead. It names an attorney and lists the acts: sign the share sale agreement, sign the amended memorandum, attend the registrar, and receive or pay the price. A general power of attorney usually will not do. A share transfer disposes of property, so the document has to name the company, the shares and the transfer itself.

What the document must contain

01

The company

Name, legal form and trade licence number, as on the licence.

02

The shares

How many shares, or what percentage, are being transferred.

03

The other party

The buyer or seller, named as on their passport or trade licence.

04

The acts

Sign the sale agreement, sign the amended memorandum, attend the registrar.

05

The price

Whether the attorney may receive or pay it, and into which account.

06

The term

An end date, if you want one.

Getting the scope right

Under Federal Decree-Law No. 25 of 2025 (Article 871), a power of attorney written in general terms covers acts of management only. Selling or transferring shares goes beyond management, so name the transfer in the document.

How it is prepared

01

02

We draft the scope

Company, shares, parties, price and the acts the attorney may sign.

03

You approve the Arabic and English

Nothing is signed until you are happy with the wording.

Where it is refused, and why

The registrar refuses a share transfer POA that does not name the transfer, gives a share count that differs from the memorandum, or names a party wrongly. We check each against your papers before you sign.

Rejection reasons, and the fix

01

It is a general power of attorney

Fix: name the company, the shares and the transfer.

02

The share count does not match

Fix: copy the holding from the current memorandum.

03

The buyer is named wrongly

Fix: copy the name from their passport or trade licence.

04

The attorney cannot sign the amended memorandum

Fix: add that act to the scope.

After notarisation

01

Signed abroad

The UAE is not a party to the Apostille Convention. A POA signed abroad is attested in that country, including by the UAE embassy, then by MOFAIC in the UAE.

02

Used at the registrar

The attorney presents the original with the transfer papers to Dubai Economy and Tourism or the free zone registrar.

03

Licence updated

The company’s records and trade licence then show the new shareholders.

If the deal changes

If the buyer, the price or the number of shares changes, sign a new power of attorney and revoke the old one. Revocation is covered by Article 898 of Federal Decree-Law No. 25 of 2025.

Questions about a power of attorney for share transfer

Can one attorney act for both seller and buyer?

Ask us about your case first. The registrar and the other partners may object.

Can I sign it from outside the UAE?

Yes. Sign before a notary in your country, then have it attested there, by the UAE embassy, and by MOFAIC in the UAE. Or use our online notary public services.

How long is it valid?

There is no fixed legal period. It runs for the term the document states.

Does the attorney need to be a lawyer?

No. Any adult you can identify by passport or Emirates ID can be named.

Can the POA include receiving the price?

Yes, if you name it. State the account the money goes into.

Do the other partners need to agree?

That depends on your memorandum. Many need their consent or a waiver.
