Free Zone Company Power of Attorney
A free zone power of attorney in the UAE lets a named person act for a free zone company at the registrar, the bank or a government counter. A DMCC power of attorney is the same document for a DMCC company. We draft it and our in-house notary public notarises it.
Fee from AED 1,500. Fees may vary with the document; we confirm the figure before you sign.

What a free zone power of attorney does
A free zone company acts through people. When the manager or a shareholder cannot attend in person, the company gives a power of attorney to someone who can. That person then signs, files and collects papers in the company’s name. Under Federal Decree-Law No. 25 of 2025, a power of attorney is either general or special. A general power written in general terms covers acts of management only, so most free zone registrars and banks want the specific acts listed. The free zone licence decides who can grant the power. That is usually set out in the company’s articles or a board resolution, and the power of attorney should say which one it relies on.

The manager, director or board, and the resolution or article that allows it.
03
The attorney
Full name and passport or Emirates ID number.

Each act listed, with the authority or bank where it will be used.

What to bring
The free zone licence, the articles of association, any board resolution behind the power, and original passport or Emirates ID for the person signing. Bring the attorney’s passport copy too.
Free zone company
The licence comes from the free zone authority. Filings go to that free zone’s registrar, and each free zone sets its own document list.
Mainland company
The licence comes from Dubai Economy and Tourism or another emirate’s economic department. Filings go there. The power of attorney is drafted the same way; only the receiving body changes.

Name the acts, not a category
“To act for the company in all matters” is the wording most often pushed back. List the acts: renew the licence, sign the amendment, open the account. Name the free zone and the bank.
Who signs, and what we check
The manager or director named in the licence
A board member acting on a resolution
A parent company’s authorised signatory
Original passport or Emirates ID
The company name against the licence
The licence number and issuing free zone
The signatory’s authority in the articles
The acts against the free zone’s checklist
Why free zone powers of attorney are refused
Refusals come from a small set of problems. The company name does not match the licence. The person who signed had no authority to grant the power. The wording is general where the registrar or bank wants specific acts. The document was signed abroad and not legalised. Each one can be checked before signing, so we check them first.
Common problems and the fix
01
Name does not match the licence
Copy the name, legal form and licence number from the current licence.
02
Signatory had no authority
Attach or cite the board resolution or article that allows it.
03
Wording too general
List each act and the authority or bank it is for.
04
Signed abroad, not legalised
Notarise it there, attest it in that country and at the UAE embassy, then at MOFAIC in the UAE.
05
Licence expired or changed
Check the licence is current before signing.
DIFC companies
DIFC Courts runs its own notary service for DIFC matters. If your company is in DIFC, tell us who will receive the document first, so we can check which notarisation they ask for.
After notarisation
01
Give it to the attorney
The attorney presents the original or a certified copy.
02
File it where asked
The free zone registrar or the bank may keep a copy on file.
03
Keep the original
Store it with the company’s constitutional documents.
04
Watch the term
When the term ends or the attorney changes, prepare a new one.

Cancelling or changing it
The company can revoke the power of attorney at any time. Notarise the revocation and send it to every registrar, bank and person holding a copy. To change the scope, grant a new one and revoke the old.

Send the free zone’s checklist. We draft to it.

Questions about free zone powers of attorney
Is a DMCC power of attorney different from other free zone ones?
The format is the same. What changes is the name of the free zone, the licence details and the document list DMCC asks for. Send us that list and we draft to it.
How long is it valid?
There is no general legal validity period. The document states its own term. Some bodies set their own rules, so check with the receiving body.
Our parent company is abroad. Can it grant the power?
Yes. It can sign here with our in-house notary public, sign online, or sign abroad and legalise the document through the UAE embassy and MOFAIC.
Can the attorney appoint someone else?
Only if the document says so. We add or leave out that right on your instruction.
Does it need to be in Arabic?
Notarised documents in the UAE are in Arabic, with limited exceptions. We draft Arabic and English together.
