What an MOA annulment is
The memorandum of association is the agreement between the partners that creates the company. An annulment is a second agreement between the same partners that ends it. It is usually one step in closing the company, alongside liquidation and cancelling the trade licence. The annulment must match the memorandum and every addendum, because it ends the company as it stands today. If a share transfer was never recorded, the wrong people may be asked to sign. We check the full set first, then notarise the annulment.
When partners annul the MOA
A company that will not go ahead
The partners decide not to continue with the company they formed.
A partner signing from abroad
A partner outside the UAE signs online or through an attorney.
What the annulment must contain
01
The company name and licence number
Exactly as on the trade licence.
02
A reference to the MOA and every addendum
So the document ends the company as it stands today.
03
Every partner
Named as in their passports, with their shares.
04
The agreement to end the MOA
Clear wording that all partners agree.
05
Signatures of every partner
Or of an attorney holding a valid power of attorney.
Getting the scope right
The annulment is one document in a closing file. The authority that issued your licence decides the other steps, such as liquidation and licence cancellation, and the order they come in. Ask that authority, or your liquidator, which documents they need from you. Then send us the file and we check that the annulment fits with the rest.

Where an annulment gets stuck
An annulment gets stuck when the file does not show who owns the company today. A partner who sold their shares is still named. A new partner is missing because the transfer was never recorded. Or one partner cannot attend and has no power of attorney. We find these before the day you sign.
Common problems, and the fix
01
A past share transfer was never recorded
Fix: record the transfer in an addendum first.
02
One partner cannot attend
Fix: they sign online or give a power of attorney.
03
A corporate partner has no signing proof
Fix: bring that company’s resolution or power of attorney.
04
The company name differs from the licence
Fix: copy the name and legal form exactly.
05
The two languages differ
Fix: correct both texts together before signing.
After notarisation
01
Add it to the closing file
The notarised annulment goes with the other closing documents.
02
Submit to the authority
File it with the mainland authority or free zone registry that issued the licence.
03
Close with the bank
Your bank may ask for it when you close the company account.
04
Keep a copy
Keep the annulment with the MOA and every addendum.

Not ready to close?
If the company carries on with a change of partners, you may need an addendum instead of an annulment.

Questions about MOA annulment
Is the annulment the same as closing the company?
No. It is one document in the closing file. The licensing authority sets the other steps.
Do all partners need to sign?
Every current partner signs, in person, online or through an attorney.
Can you draft the annulment?
Yes. Send the MOA and addenda and we quote after reading them.
One partner has left the UAE. What now?
They can sign online or give a power of attorney. Call or WhatsApp us for the steps.
What if an old share transfer was never recorded?
Record it in an addendum first, so the annulment names the right partners.
Does a free zone company need this?
Some free zones have their own closing process. Tell us the zone and we tell you what applies.
