What this power of attorney is for
Closing a company in Dubai means many visits: the licensing authority, the banks, the tax file, the visa and labour files. Owners who live abroad, or partners who cannot all attend, give one person a power of attorney to do these steps for them.
The power of attorney does not decide to close the company. That decision comes first, usually in a shareholder or partners resolution. The power of attorney then lets a named person carry out the steps the resolution needs, and nothing else.
The types we prepare
Licence cancellation
For attending the licensing authority and signing the cancellation forms.
- Dubai Economy and Tourism or the free zone named
Bank account closure
For closing the company’s accounts and collecting the closing letters.
- Each bank named
Tax deregistration
For deregistering the company with the Federal Tax Authority.
- VAT and corporate tax named as needed
Visa and labour files
For cancelling staff visas and closing the company’s immigration and labour files.
Power to the liquidator
For the person the owners chose to run the closure, where extra acts need a power.
From a foreign shareholder
For a parent company or partner abroad that owns shares in the Dubai company.
Three ways to get it notarised
What the document must contain
01
The company
Its name and legal form exactly as on the trade licence, with the licence number.
02
The people granting it
Every owner who must sign, or the person authorised to sign for a corporate owner.
03
The decision behind it
A reference to the resolution to dissolve the company.
04
The acts
Each closure step named, with each authority and bank.
05
Delegation and term
Whether the attorney may delegate, and whether the power ends when the closure is done.
Getting the scope right
List every place the attorney must go and every act they must do there. A power that says “close the company” is too thin for most counters. A power that names the licensing authority, the banks, the tax file and the visa files gets through.
From your request to a notarised document
01
Tell us what must close
The licence, the banks, the tax file, the visas, and who will act.
02
We check the company papers
Trade licence, MOA and the resolution to dissolve.
03
We draft in Arabic and English
Both texts written together, every act listed.
04
We notarise it
At our Business Bay office, online, or on a home visit.

What to bring
Original passport or Emirates ID for each person signing. The trade licence, the MOA and the resolution to dissolve. Full ID details for the attorney.
Liquidator
Appointing the liquidator
A decision of the owners, usually recorded in the resolution to dissolve. The liquidator runs the closure.
Power of attorney
Power of attorney for liquidation
Lets a named person act for the owners or the company on the listed steps. It can sit beside the liquidator’s appointment.

Name every counter
Each authority reads the power of attorney for its own step. The bank looks for the bank. The licensing authority looks for the licence. If a step is missing, that counter can refuse and a new power is needed.
Places the attorney may need to deal with
Dubai Economy and Tourism
The free zone authority, for a free zone company
Federal Tax Authority
The company’s banks
Immigration file
Labour file
Utility and telecom accounts
Landlord and lease
Courts, where a claim is open
Where it is refused, and why
A liquidation power is refused when an owner who should sign did not, when the company name does not match the licence, or when the act at that counter is not listed. A power signed abroad without attestation is also refused. Each can be checked before signing.
Rejection reasons, and the fix
01
One owner did not sign
Fix: check the MOA for who must grant it, and get every signature.
02
The act at this counter is missing
Fix: list each authority and bank by name.
03
The company name does not match
Fix: copy it from the trade licence, legal form included.
04
No link to the resolution
Fix: refer to the resolution to dissolve, and bring it.
05
Signed abroad, not attested
Fix: attestation in that country, including the UAE embassy, then MOFAIC in the UAE.
After notarisation
01
Give the attorney the original
Most counters ask to see the notarised original.
02
Keep copies for each counter
The bank, the licensing authority and the tax file may each keep one.
03
Follow the closure order
The licensing authority may ask for clearances from other files first. Call us if you are unsure of the order.
04
Signed outside the UAE
Grant it online with our in-house notary public, who checks your identity and witnesses the signing by video. Signed before a notary abroad instead: attestation there, then MOFAIC in the UAE, then a legal translation into Arabic if it was not bilingual. The UAE does not use apostilles.

When the power ends
Write an end point into the document, such as the end of the closure. If the attorney changes before then, the old power is revoked by its own notarised document and a new one is drafted.

Questions about a power of attorney for liquidation
Who signs it?
The owners, or the person the MOA lets sign for them. A corporate owner signs through its authorised signatory.
Is it the same as appointing a liquidator?
No. The owners appoint the liquidator, usually in the resolution to dissolve. The power of attorney lets a named person carry out listed steps.
Can one power cover the licence, banks, tax and visas?
Yes, if each one is named in the document.
The owner lives abroad. What changes?
They can sign abroad and have it attested there and by MOFAIC in the UAE. Or they can use our online notary public services. Call us to check which fits.
How long does it last?
There is no fixed legal validity period. The term is what the document says.
What does the whole closure cost?
We quote after reading the document. The power of attorney itself is from AED 1,500.
