What an MOA amendment is

The memorandum of association states who owns the company, the capital, the activity and the manager. When one of these changes, the memorandum is not rewritten. The partners sign an addendum, also called an amendment, that changes only the part that moved. The addendum is read together with the original memorandum and every addendum before it. That is why the set has to be complete and in order. A company that has traded for some years often has several addenda. We notarise each new one and check it against the full set first.

Getting the scope right

One addendum can record more than one change, but only if every change is clear and agreed. A share transfer and a new manager are often signed together. Before we notarise, we check which changes you need, whether an earlier addendum is missing, and whether the change also needs a board or partners resolution. Tell us what changed and we tell you what the addendum must cover.

The partners resolution, where needed

Where an addendum gets stuck

An addendum is rarely held up by a typo. It is held up because an earlier change was never recorded, so the shares in the new addendum do not match the file. Or the company name is written differently from the licence. Or a corporate partner signs without proof of who may sign for it. We check these before the day you sign. Read our guide to memorandum of association amendments in Dubai.

Common problems, and the fix

01

An earlier addendum was never signed

Fix: sign the missing addendum first.

02

Shares do not add up

Fix: work the figures from the last addendum forward.

03

The company name differs from the licence

Fix: copy the name and legal form exactly.

04

A corporate partner has no signing proof

Fix: bring that company’s resolution or power of attorney.

05

The two languages differ

Fix: correct both texts together before signing.

After notarisation

01

File it with the authority

The notarised addendum goes to the mainland authority or free zone registry that issued the licence.

02

Update the licence

Where the change shows on the licence, the licence is updated.

03

Tell the bank

Send the bank the new addendum, especially after a change of manager or signatory.

04

Keep the full set

Keep the addendum with the MOA and every earlier addendum, in order.

A drawer of archived files

Changing an addendum later

A signed addendum is not edited. A later change is recorded in a new addendum that refers to the earlier ones.

Questions about MOA amendments

Can one addendum cover several changes?

Yes, if every change is agreed and clearly written. We check that nothing conflicts.

Can you draft the addendum?

Yes. Tell us what changed and we quote after reading your MOA and earlier addenda.

Do all partners need to sign?

Usually every partner signs. A partner can sign online or through an attorney.

We lost an old addendum. What now?

Tell us early. The set has to be complete before a new addendum makes sense.

Does a free zone company use the same route?

Some free zones handle changes through their own registry. Tell us the zone and we tell you the route.

Can a partner abroad take part?

Yes, online or through a power of attorney. Call or WhatsApp us for the steps.
