UNDERTAKING LETTER, UAE
Undertaking Letter Notarisation Dubai
An undertaking letter is a formal written promise to do, or not do, something, often asked for by a bank, an authority or a counterparty as a condition of a transaction. Our in-house notary public notarises it at our Business Bay office, online or at your home.

What an undertaking letter is
An undertaking letter is a signed, formal promise, that you will do something, that you will not do something, or that something is true and will remain true. A bank may ask for one before releasing funds, an authority before approving a request, a counterparty before completing a deal. It is not the same as a contract between two parties negotiating terms, it is usually one party putting their commitment in writing because someone else has asked for it. Notarising it adds a dated, notarised record that the promise was made, in that wording, by that person or company.
Common reasons for an undertaking letter
A condition set by a bank
A repayment undertaking, or a promise tied to an account or facility.
A condition set by an authority
A compliance undertaking requested before an approval is granted.
A condition in a transaction
A promise to a counterparty, to complete an action or not to act in a certain way.
A personal undertaking
A written promise between individuals, where one side wants it in writing.
What the letter must contain
01
Who is promising, and to whom
Full names, and company details where either side is a business.
02
The exact promise
What will, or will not, be done, stated precisely, not in general terms.
03
Any timeframe or condition
By when, or on what condition, the promise applies.
04
A reference to what was requested
The bank, authority or counterparty’s own wording, where they gave one.
05
Signature of the person making the promise
Or an authorised signatory, with proof of authority to sign.
Getting the scope right
An undertaking letter only works if it says exactly what the receiving party asked for. A vague promise, “we will comply where reasonable”, is often rejected outright. Send us what the bank, authority or counterparty actually requested, and we draft or check the wording against it before you sign, so it is accepted the first time.

| Document | Fee | What you need |
|---|---|---|
| Undertaking letter | We quote after reading the document | The exact promise, any request it answers, ID or passport |

What to bring
Passport or Emirates ID for whoever signs, any letter or request from the bank, authority or counterparty, and a clear statement of exactly what you are promising.
Undertaking letter
Undertaking letter
A promise to do, or not do, something, usually because someone else asked for it in writing.
Legal notice
Legal notice
A formal demand or notice to another party, rather than a promise. See legal notice.

What decides whether it is accepted
The receiving bank, authority or counterparty usually has specific wording or conditions in mind. An undertaking that answers those precisely is accepted far more often than one written in general terms and hoped to fit. Send us the request itself where you have it, not just a summary.
- Match the wording to what was requested
- State the promise precisely, not in general terms
- Confirm who has authority to sign for a company
Who signs, and what we check
The person or company making the promise
An authorised signatory, where a company is promising
Passport or Emirates ID for whoever signs
The letter, read through before you sign
Any request or template from the receiving party
Both language versions, where the letter is bilingual
Where an undertaking letter is refused
We do not notarise a letter that is too vague to mean anything, that promises something unlawful, or that a company signatory has no proof of authority to sign. We read the letter and check who is signing before you put your name to it.
Common problems, and the fix
01
The promise is too vague
Fix: state exactly what will or will not be done, with a date or condition.
02
It does not match what was requested
Fix: send us the bank or authority’s own wording before we draft it.
03
A company signatory has no proof of authority
Fix: bring a board resolution or power of attorney confirming who may sign.
04
The two language versions differ
Fix: correct both texts together before signing.
After notarisation
01
The letter goes to the receiving party
The bank, authority or counterparty who asked for it.
02
You keep the notarised copy
As your dated record of the promise you made.
03
You keep track of the timeframe
Where the undertaking has a date or condition attached.
04
You keep it with your file
In case it is asked for again later.

If an attorney is signing for someone else
An undertaking is sometimes signed by an attorney holding a valid power of attorney, rather than the person themselves.

Questions about undertaking letters
Can you draft the letter for me?
Yes. Send us what was requested and we quote after reading it.
Is an undertaking letter the same as a contract?
No. It is usually one party’s written promise, often required as a condition rather than negotiated between two sides.
Does the letter need to match a specific template?
Where the bank or authority gave one, yes, we check the wording against it.
Can a company sign an undertaking letter?
Yes, through an authorised signatory, with proof of authority to sign.
What happens if the promise is not kept?
That is a legal question for the receiving party and your lawyer. We keep your notarised copy as the record.
Does the letter need to be bilingual?
Often, where the receiving party relies on the Arabic text. We check both versions against each other.
