Declaration of solvency
Solvency Declaration in Dubai
A solvency declaration confirms that a company or an individual can meet their debts, most often as part of a company’s voluntary liquidation or to support a personal visa or immigration file. Our in-house notary public notarises it at our Business Bay office, online or at your home, from AED 600.

What a solvency declaration is
A solvency declaration confirms that the person or company signing it can meet its debts. The most common use is corporate: before a company can close through a members voluntary liquidation, the directors sign a declaration confirming the company can pay everything it owes within a set period, and the shareholders then pass a resolution to wind up and appoint a liquidator. A less formal, personal version appears in some visa, residency or sponsorship files, where an applicant signs a declaration of financial solvency to support an income or net worth claim, usually alongside bank statements or an accountant’s certificate. The two are worded differently and carry different weight. We ask which one applies before we draft it, because a liquidation declaration sits inside a wider legal process and a personal one does not.
When a solvency declaration is used
Company liquidation
Directors confirm the company can settle its debts before winding up begins.
Personal visa or immigration file
Supports a financial capacity claim alongside bank statements or an accountant’s letter.
Confirming solvency to a partner or bank
A written confirmation requested as part of a transaction or facility.
Before a shareholder resolution to wind up
The declaration directors sign ahead of the resolution.
What the declaration must contain
01
The company or individual’s identity
Full legal name, as on the licence or passport.
02
The basis for the claim
Figures or accounts the solvency statement relies on.
03
The period covered
How long the signer confirms the debts can be met.
04
A declaration of truth
That the statement is made knowingly and is true.
05
Signatures before the notary
Every director, or the individual, witnessed at signing.
Getting the basis right
A solvency declaration is only as sound as the figures behind it. A liquidation declaration should follow the company’s actual accounts, and a director who signs one carries personal responsibility for it being accurate. A personal declaration should match the bank statements, salary letters or net worth certificate submitted alongside it, not state a larger figure than the file can support. We ask what the declaration is for and what it will be submitted with, so the wording stays consistent with the rest of your file.

The figures have to hold together

- Consistent with the supporting documents
- The right period and basis stated
- Both language texts checked together

Every director, on a liquidation declaration
The individual, on a personal declaration
Passport, Emirates ID or trade licence
The accounts or financial documents relied on
The shareholder resolution it supports, where one exists
Authority to sign, for a corporate declaration
Where a solvency declaration gets stuck
A solvency declaration is refused or questioned when the figures in it do not match the accounts or bank statements submitted alongside it, when a director signs without having seen the actual accounts, or when the declaration states a period longer than the figures can support. We check the basis before notarising, because this is one declaration where a receiving authority or a liquidator is likely to look closely at the number, not just the signature.
Common problems, and the fix
01
The figures do not match the accounts
Fix: reconcile the declaration against the actual accounts first.
02
A director has not seen the figures
Fix: circulate the accounts before the directors sign.
03
The stated period is unsupported
Fix: shorten the period to what the figures can show.
04
The two languages differ
Fix: correct both texts together before signing.
